Cottonwood Men’s Club

Article I

Meetings of the Men’s Golf Club

At the meetings of the Men’s Golf Club the following order of business shall be, as governed by the Laws and Practices specified in: “Robert’s Rules of Order.”

1. Call meeting to order by the President

2. Reading minutes of previous meeting by the Secretary

3. Treasure Report

4. Various Chairmen Reports

5. Election of Board of Governors Members (Annual Meeting)

6. Adjournment

Article II

Board of Governors

Section I

The Board of Governors shall hear all complaints or disputes between members

of the Men’s Golf Club, but no Member of the Board involved in any dispute shall

sit in hearing or vote on such complaint or dispute.

Section II

The Board of Governors shall exercise absolute discretion in the interpretation

and enforcement of the Constitution and By-Laws and shall in every way

safeguard the best interest of the Club and the game of golf.

Article III

The President

In addition to the powers given the President in the Constitution, he is

authorized to appoint special committees as may be found necessary for the

further interests and purpose of the Club.

Article IV

Amateur Classification

If there were questions brought before the Board involving Amateur

Classification of a member, the Board will be guided by the Rules of the United

States Golf Association and the Southern California Golf Association.

Article V

Appointed Chairman and Committees

The Board of Governors shall, at its first meeting following each annual meeting, appoint the

following Chairmen to a minimum term of one year:

Tournament Chairman and Assistant Tournament Chairman

They shall be responsible for the coordination and scheduling of all tournaments and shall

supervise the conduct of competition of any special event. They shall be arbitrators in all

disputes arising from play. They will post and enforce all local rules as established by

Cottonwood Golf Course and insure these rules are in compliance with the Southern California

Golf Association. The Tournament Chairman and Assistant Tournament Chairman shall be the

contact with all other organizations in tournament related matters.

Greens, Golf Course and New Member Chairman

He shall be responsible for contact with the authority controlling the Cottonwood Golf Course.

He shall present to the authority the concerns of the Board of

Governors and the Men’s Club as to playing conditions of the course and greens. He shall report

to the Board all upkeep, maintenance and projected plans affecting the courses.

He shall be responsible for greeting and assisting all new members. Contact will be made upon

notification from the President and it will be the Chairman’s responsibility to see that the new

member’s needs are met and questions are answered. He will send out an email to the new

members greeting them to the club and let them know about the events. Also , give an account

of the # of members at the board meetings.

Handicap Chairman

He will be chosen by the Board of Governors to serve a minimum of one year and if he remains

in good standing his term may be extended annually. He will be responsible for supervision and

administration of handicaps. He shall be the contact with other organizations in all matters

pertaining to handicapping. He will present periodic reports to the Board of Governors

concerning the status of the handicap system.

Each appointed Chairman is authorized by the Board of Governors to appoint committees of as

many members as he deems necessary to carry out his duties as set forth by the By-Laws of the

Cottonwood Mens Club. He will be responsible for monthly reports to the Board of Governors

detailing his activities.

Article VI

Expenditures

The Board of Governors shall incur no indebtedness or liability in any year in excess of funds on

hand.

Article VII

Rules of Competition

All competitions shall be played under and in accordance with the Rules of Golf as approved by

the United States Golf Association and Southern California Golf Association. Any participant in a

golf event sponsored by the Cottonwood Men’s Club shall be a current member of the

Cottonwood Men’s Club. In the case of the Member Guest Invitational each Club member may

invite a guest to play in the event.

Article VIII

Handicap System

The Southern California Golf Association shall authorize the handicap system used by the

Cottonwood Men’s Golf Club.

Article IX

Amendments

The By-Lays may be amended without notice by a majority vote at any meeting in the Board of

Governors. Four members present in person shall constitute a quorum of the Board of

Governors at any meeting.

Cottonwood Men’s Club Constitution

Article I

The club shall be named “Cottonwood Men’s Club.”

Article II

Objectives

The club has been formed and exists for the purpose of:

Promoting good fellowship and sportsmanship.

Learning and practicing the Rules, the Etiquette and the true spirit of the game of

golf’s highest standards.

4. Support the United States Golf Association and the Southern California Golf

Association.

Article III

Course for Operations

The club shall carry on its general operation at:

Article IV

Membership

Section 1

The club shall be comprised of two classes of membership,

  • Regular Member
  • Associate Member

Membership shall be for golfers who place the majority of their games at Cottonwood Golf Club.

Section 2.

Regular Members

1. 2. 3. All male members of the Cottonwood Men’s Club, other than social, shall be eligible

for membership in the Cottonwood Men’s Club upon payment of the current annual

Men’s Club Dues. Dues may be subject to change by the Men’s Club Board of

Governors.

All male members must have an established Southern California Golf Association /

GHIN handicap to participate in the Men’s Club events. Note: GHIN is an acronym

for Golf Handicap and Information Network, a handicapping service of the USGA that

allows clubs and golfers to post and retrieve information electronically.

Regular membership shall entitle the member to all privileges of the Men’s Golf

Club.

Section 3. Associate Members

Associate Members shall not be entitled to all privileges as specified in Section 2.

Associate Membership is limited to GHIN Handicap privileges only, unless upgraded to

full membership.

Section 4. Resignation

Any member may resign from the Men’s Golf Club by giving written notice to the

Cottonwood Men’s Membership Coordinator. All dues and other obligations accrued to

date must be paid at the time of resignation.

Article V

Men’s Golf Club Meetings

Section 1. Annual

The annual meeting will be held on the Second Thursday of November.

Section 2. Special Meetings

Special meetings may be called by the President, the Board of Governors, or

by written request of any ten members in good standing. The request must

state the agenda of the special meeting.

Section 3. Notice of Meetings

Notice of all regular meetings can be done through the Club’s publication.

Notification of all special meetings shall be done via phone, email, and

postings in the men’s locker room. Special meeting notification will include

subjects to be discussed, and no other business may be conducted at that

time.

Section 4. Voting Privileges

At any time meeting of the Club, each Regular and Non-Resident member in

good standing is entitled to one (1) vote.

Article VI

Board of Governors

Section 1. Election

There shall be a Board of Governors consisting of seven five members who

shall be elected for a term of three two years. Each year a Nominating

Committee, consisting of three members, shall nominate candidates to fill

vacancies. Consecutive one-year terms for existing Board Members may be

approved by a majority vote of the Board only if the Nominating Committee

fails to find candidates willing to serve. Any vacancies of the Board of

Governors occurring between annual meetings of the Club will be filled by

the remaining members of the Board or by appointing any regular member

in good standing to the vacated position.

Section 2. Powers and Duties

Subject only to the provisions of this Constitution and to any such action as

may be taken from time to time by the Club itself at any annual or special

meeting, the Board of Governors shall have entire control of management of

the affairs and policy of the Men’s Golf Club. The Board may delegate any of

its powers or duties to a sub-committee of three or more of its members

although no sub-committee shall have the power to expel any member. The

Board of Governors may make an alter any By-Laws or other rules that are

not consistent with this Constitution.

Section 3. Meetings

The Board of Governors shall meet once a month or at the call of the

President or any three Board members.

Section 4. Quorum

Four members present in person shall constitute a quorum of the Board of

Governors at any meeting. The President may vote in case of a tie or to

constitute a quorum.

Section 5. Proxies

Voting by proxy by the Board of Governors shall be permitted.

Article VII

Officers

Section 1. Elections

The Officers of the Men’s Golf Club shall be a President, Vice President,

Secretary, Treasurer and Membership who shall be elected by the five

members of the Board of Governors. The Board of Governors will fill any

vacancies in the offices occurring between annual meetings.

Section 2. Powers and Duties

1. 2. 3. 4. 5. President – The President shall preside at all meetings of the Club and the

Board of Governors, and in general shall perform the duties incident to this

office.

Vice President – During the absence or inability to act as the President, the

Vice President shall perform the Duties of that office.

Secretary – The Secretary shall keep the records of all meetings of the Club

and the Board of Governors. He shall be responsible for and in charge of all

correspondence, files, and records of the Club. He shall present at each

meeting of the Club a full report on all matters relating to the affairs of the

Club.

Treasurer – He shall keep full and accurate accounts of all monies received

and shall deposit the same in the name and to the credit of the Men’s Golf

Club in such depositories as designated by the Board of Governors. He shall

have the authority to receive and give receipt for all monies due and payable

to the Club from any source whatsoever. To endorse on behalf of the Club all

checks, drafts, notes, warrants, and orders for payment of money. He is

solely responsible for completing and mailing Southern California Golf

Association annual membership update lists to the SCGA. At each meeting of

the Board of Governors he shall present a written report of all money affairs

of the Club. This report shall be posted for viewing by the regular

membership on the Men’s Club website semi-annually.

Membership- He shall be responsible for greeting and assisting all new

members. Contact will be made upon notification from the President and it

will be the Chairman’s responsibility to see that the new member’s needs are

7met and questions are answered. He will send out an email to the new

members greeting them to the club and let them know about the events. Also,

give an account of the # of members at the board meetings.

Article VIII

Committees

The President shall have the power to create such committees as he and the Board of

Governors deem necessary to carry out the purposes and functions of the organization.

Article XI

Club Revenue

The Club revenue shall be derived from Cottonwood Men’s Club funds, Men’s Club

dues, and such additional funds as may be acquired from miscellaneous Men’s Club

activities.

The Men’s Club President is a voting member of the Association’s Budget and Finance

Committee where he can ensure that funds are equitably distributed.

Article X

Fiscal

The fiscal year shall begin on the first day of January and end on the 31st day of

December of the same year.

Article XI

Obligations and Discipline

The acceptance of membership in the Club shall bind each member to uphold all the

provisions of the Constitution, By-Laws, and Rules of the Club, and to accept and enforce

all rules and decisions of the Board of Governors action within its jurisdiction. Members

8shall be subject to suspension or expulsion for conduct detrimental to the game of golf,

the good name of the Club, and/or the proper functioning of the Club.

Article XII

Nominations

1. 2. 3. No later than October 1st t of each year the Board of Governors shall appoint a

nominating committee. This committee shall consist of two Board Members and one

member at large, who will be selected by the Board of Governors.

The Nominating Committee shall nominate at least one candidate for each vacated

elective office and they shall inform each candidate as to his duties and

responsibilities. Before the member is officially nominated for office, he must give

his consent for such nomination.

Prior to the November Annual meeting (Turkey Shoot) the proposed slate of officers

shall be announced and posted. An election will be held by silent ballot during the

meeting only in the case of an independent nomination. Officers elected will take

office immediately.

Article XIII.

This Constitution was updated to be in accordance with the Cottonwood Men’s Club, who with

agreement between Cottonwood Golf Club, to align fiscal years beginning the first day of

January and ending on December 31st of that same year.

Cottonwood Men’s Club

Standing Rules of Procedure

In order to play in a Cottonwood Men’s Club Tournament, member dues must be

current.

Cottonwood Men’s Club and Southern California Golf Association dues are

included in Cottonwood Men’s Club billings to members.

SCGA dues are established by the SCGA.

Cottonwood Men’s Club dues are established by the Board of Governors..

To participate in any Men’s Golf Club sponsored Tournament, club members must

have an assigned or permanent handicap.

9a. A handicap member shall be assigned a “new member” with no handicap when

five (5) completed and attested score cards are presented to the golf shop then

turned over to the Handicap Chairman.

b. The Handicap Chairman and his Committee shall be responsible for assigning

handicap numbers.

4. SCGA Tournament Expense

a. The Men’s Club will provide the entry fee and reasonable expense money for the

Cottonwood Men’s Club Championship, the Four Ball Championship and, the

Seniors Club Championship to participate in the respective Championship

Tournaments. Total expenditures not to exceed $300 per tournament.

5. First Saturday of the Month Tournament

a. The Men’s Club conducts a tournament on the first Saturday of each month.

Format to be determined by the Tournament Chairman. The starting time will be

coordinated with the Golf Shop. Each player will pay an entry fee and all payouts

will be in the form of Gift Certificates.

6. Board of Governors Right to Amend

a. The Standing Rules of Procedures may be amended without notice by a majority

vote at a meeting of the Board of Governors. Four members shall constitute a

quorum of the Board at any meeting.
